The goal and responsibility of the Association
| 1.) |
The goal of the Association:- lobbying for baths in Hungary and abroad,
- enhancing the local and regional development and operation of baths,
- providing consultancy.

The major responsibility of the Association:
- keeping in touch with the members of the Association regularly and in an organized way,
- studying the Hungarian and foreign literature of baths about possible developments, helping its utilization, publishing brochures, guidebooks - etc. on a regular basis,
- organizing study trips in Hungary and abroad,
- organizing professional events,
- participating in the writing and updating of technical-, economic-, healthcare- and legal regulations about baths,
- coordinating the relationship with health insurance companies,
- participating in the organization of outsourced training programs for bath experts and organizing our own training programs,
- providing consultancy in the fields of bath operation, development and planning,
- keeping in touch with Hungarian and foreign partner-associations and with others having an interest in baths,
- preserving the memory of great personalities of the baths trade and the memory of the Hungarian baths traditions, and developing them.

The international work of the Association
According to the regulations of the Assembly Meeting, the Association - within the limitations defined by legal regulations - can be a member of every international organization, which helps the Association to reach its goals.

The members of the Association
| 1.) |
Regular members of the Association can be everybody, who accepts the constitution of the Association as compulsory and whose admission is accepted by the Assembly Meeting, especially - the ones operating institutions offering baths services, - independent Hungarian and foreign baths associations, baths clubs. |
| 2.) |
Honorary members of the Association can be outstanding and widely respected people or organizations of the baths trade, whose honorary membership is suggested by the Association's Caucus and requested by the Assembly Meeting. |
| 3.) |
Supporting members of the Association can be educational institutions, sports clubs and organizations of the baths trade, transportation companies, banks, consultancy companies, research labs, travel agencies - etc, who regularly work for baths, if they accept the goals of the Association, participate in reaching these goals, and if their admission suggested by the Association's Caucus, is accepted by the Assembly Meeting.
Any non-natural person members are represented in the Association by the leaders of the member-organizations, or by authorized members.
Individual baths belonging to baths companies or economic corporations can be members independently, as well. |
The rights of the members
Regular members of the Association...
| a.) |
participate in the work, meetings and events of the Association. Each regular member has one vote, and among the legal person members, one person can be elected to the Caucus of the Association.

| b.) |
can have resort to the services and preferences provided by the Association under conditions defined by the Caucus. |
| c.) |
can make proposals and complaints towards any organization of the Association. |
| d.) |
can introduce themselves at the Assembly Meeting, or at any other events of the Association, and if the event is accompanied by an exhibition, they can display there for a discount of 50%. |
The honorary and supporting members of the Association have the same rights as the regular members, except that they cannot vote and cannot bear an elected function. Natural persons and honorary members cannot have the discount for exhibitions, and they can only introduce themselves at events or can only pursue economic propaganda activities according to individually tailored agreements.
Members of the Association's administrative and representative organizations can be Hungarian citizens, non-Hungarian holding a permission to stay or holding a Hungarian residence permit, or any other non-Hungarian citizens, if not banned from exercising public affairs.
Responsibilities of Members
The members have to:

keep the Regulations and the orders of the Constitution, and also the decrees of the Association's organizations.

actively participate in the work of the Association, |

pay the dues. |

The annual dues of legal persons, entrepreneurs and supporting members - unless the Caucus decides differently at their admission - equals the dues of the regular members having more than 4001 m2 water-surface.
Honorary members do not pay any dues.
The annual dues can be paid in two equal parts until February 28, and July 31 the latest.
Termination of membership
| 1.) |
Membership can terminate:
- with secession,
- with deletion,
- with dismemberment,
- with the death of natural person,
- if the legal person or organization ceases to exist and is left without successor,

if the member hands in his intention to leave in writing. |
| 3.) |
Members, who have not paid their dues till August 31 in spite of receiving a written notice, can be deleted. The Caucus has the right for deletion. |
| 4.) |
Dismemberment is for those, who have acted against the Constitution of the Association, its basic interests, inner regulations or decrees, or have behaved in any way, which is unworthy of their membership. Dismemberment is the right of the Assembly Meeting following the proposal of the Caucus. |
The organizations of the Association
The central organizations of the Association:
| I.) |
ASSEMBLY MEETING
The Assembly Meeting is the major organization of the Association, it involves every member.
The Assembly Meeting has a quorum if more than 50 % of the members are present. The Assembly Meeting summoned again has a quorum regardless of the number of members present.
The Assembly Meeting has to be summoned when needed, but at least once a year, and also if the court of law commands it or if one third of the members, defining a reason and a goal, wishes to have it.
Falling exclusively within the authority of the Assembly Meeting:
a.) establishing and changing the Constitution and the Organizational and Operational Regulations
b.) electing and dismissing the seven electoral members, among them the Chairman and the Vice-Chairman,
c.) admission and dismissal of members,
d.) accepting the annual report of the Caucus,
e.) defining the annual budget,
f.) announcing the merge with or separation from other social organizations
g.) everything else, which falls within the authority of the Assembly Meeting by law.
For a; e; and f; two-third-majority, and for the other points simple majority of the members present is needed.

CAUCUS
The Caucus is the directing, coordinating and administrative body of the Association, its members are balloted. It has 7 members, from which
1 person is the Chairman of the Association
3 people are the Vice-Chairmen, and
3 people are further members of the Association.
Caucus membership is for four years. The elected members work in their positions for four years, from January 1 after their election till December 31.
The date of Caucus Elections is determined by the Caucus.
In case of resignation or dismissal during the electoral cycle, Caucus members are elected by the Assembly Meeting for the time until the end of the cycle.
In case of resignation or dismissal of the Chairman, the Caucus will appoint one of the Vice-Chairmen to take over the Chairman's duties and authority. The Assembly Meeting will elect his or her successor for the time until the end of the cycle.
Employer's rights over the employees of the Association are interposed by the Chairman, with the anticipatory approval of the Caucus.
The Caucus reviews the Association's numerical and textual reports and its economic and financial activities, or has them reviewed.
The Caucus chooses the Senior Secretary, and the leaders of economics and finance.
Falling within the authority of the Caucus:
a./ coordinating the activities of the Association in line with the decisions of the Assembly Meeting, defining next year's professional program, forming the Association's opinion about the basic questions concerning membership,
b./ summoning the Assembly Meeting,
c./ presenting the constitution, and its modifications to the Assembly Meeting
d./ defining standpoints and proposals concerning law and concepts about economics and work, and forwarding them to the proper forum; coordinating the Association's lobby activities,
e./ establishing and dissolving permanent and ad hoc committees, reviewing and accepting their reports,
f./ approval of appointing and dismissing secretary officers, following the Chairman's proposals,
g./ reviewing the annual report about the activities of the Caucus and the operation of the Association's administrative organizations, decision-making about its acceptance,
h./ assigning a member-organization, or its representative, or the Association's committee to represent the Association in professional forums,
i./ defining and changing the Association's Organizational and Operational Regulations.
The Caucus operates according to an annual plan, holds meetings when needed, but at least biannually. The meeting is summoned by the Association's Chairman, who regularly reports to the Assembly Meeting about the activities of the Caucus. The Association's Chairman moderates Caucus meetings.
The Chairman of the Supervising Committee, the Association-Secretary and the head of economics participates in Caucus meetings with consultation rights.
The Caucus makes its decisions with simple word-majority, usually through open voting. If votes are equal, the vote of the Caucus meeting's Chairman is decisive. The Caucus has a quorum, if at least half of the members obtaining suffrage are present.
The Caucus can form committees to enhance the effective realization of the Association's tasks, the formation of a unified standpoint and the efficient vindication of this standpoint. The committees define their own operational regulations with the approval of the Association.
The Caucus can establish a consultancy body of now retired, formerly active leaders of the Association with great experience, which body would have the rights and tasks of a committee.

SECRETARIAT
The secretariat has two members: the Senior Secretary and the economic and financial leader.
The Senior Secretary keeps in touch with the secretariats of Hungarian and foreign partner-organizations, keeps registration and administration records and performs everything else requested by the Chairman.
The Senior Secretary sends the material approved by the Caucus to the members of the Assembly Meeting eight days prior to the meeting, with special reference to
- the plan of next year's budget
- the acceptance of the annual budget
- the amendments of the Constitution and that of the Organizational and Operational Regulations.
The economic and financial leader ensures the proper operation of financial and accountancy-relevant regulations and is accountable for financial measures.

| IV.) |
COMMITTEES, SECTIONS
Both the Assembly Meeting and the Caucus can establish committees and sections for different tasks, they can appoint their members and leaders. In connection with the operation of baths, regional or national professional committees can be formed.
The committees can consist of 4 to 10 members elected for 3 years. The mandate of the Chairman can only be prolonged once, in order to ensure professional variety.
Supervising Committee
It consists of a chairman and two members elected for 3 years. Its task is to control whether the operation of the Association follows the Constitution, to control its economy and the execution of decisions made by the organizations of the Association. The Chairman and the members of the Supervising Committee bear their functions as social duties.
The members of the Supervising Committee have the right of introspection into every document of the Association, according to the relevant laws. The Supervising Committee prepares an annual conclusion- and proposal-report based on the experiences and information of local control field-visits, and every 2nd year it presents a comprehensive report to the Assembly Meeting. The Caucus has to review the report prior to the meeting.
The Chairman of the Supervising Committee does not have the provisional rights concerning the Association's affairs.

REPRESENTATION
The Association can be represented by the Chairman or any Vice-Chairman in one person without any restraints; he or she can sign everything in the name of the Association.

Termination of the Association
AzThe Association terminates, if
- the Assembly Meeting announces its termination,
- it merges with another civil organization,
- it is dissolved,
- its termination is declared.
If it is dissolved without any successor, then - after paying the liabilities -, the remaining assets will be distributed among the regular members, in accordance with their last dues paid.

The economy of the Association
|
The property of the Association is composed of
- the annual dues,
- the financial support of the honorary members,
- and other sources of financial support.
To reach its goals, the Association has the right to accept financial support from anybody.
Beside the annual dues, the members are not responsible for the liabilities of the Association.
One of the Association's members ensures the implementation of occasional administrative tasks for the Association, always under conditions defined in extra contracts.
This Constitution is the updated version of the Constitution accepted on November 25, 1992, at the foundation meeting of the Hungarian Baths Association.
